博主服务条款

 

1. 适用范围、签约主体与接受条款

1.1 本《博主服务条款》(本条款)适用于注册、加入、接受邀约或以其他方式使用券宝宝 AI 博主邀约系统及相关服务(平台服务)的内容创作者、博主、达人、KOL/KOC 或其合法授权代表(统称博主)。服务由 Grow Rich Marketing Pty Ltd 或其指定运营主体(券宝宝平台方)提供。

1.2 博主通过注册账户、提交资料、接受商家邀约、点击同意本条款或实际使用服务,即表示已阅读、理解并同意受本条款以及平台届时适用的隐私政策、数据使用政策和活动规则约束。

1.3 博主应年满 18 周岁并具有订立本条款的法律行为能力。未满 18 周岁者仅可在适用法律允许且由父母或法定监护人有效同意并承担相应责任的情况下使用服务。

1.4 如博主通过经纪公司、工作室或代理人参与,该代表声明其有权代表博主接受本条款;博主本人仍应遵守与内容真实性、披露、到店行为及个人资料有关的义务。

2. 平台性质及券宝宝的角色

2.1 券宝宝提供的是技术、信息撮合、AI 匹配、邀约触达及沟通协调服务。平台可协助收集商家需求、筛选和推荐博主、发送短信或 App 邀约、协调档期、发送到店提醒、跟进发布及记录履约情况。

2.2 除非券宝宝另行以书面形式明确成为相关商品或服务的供应商,券宝宝不是商家所提供餐饮、娱乐、美容美发、零售、活动、商品、场地或其他体验的制造商、销售方或实际服务提供者,也不控制商家的现场经营、安全管理、商品质量、食品或过敏原信息、卫生状况、专业服务质量、许可资质或人员行为。

2.3 商家与博主之间因商品或服务质量、现场接待、预约、退款、损失、受伤、过敏、财产损坏、服务不符、人员行为或其他与商家实际供给有关的争议,原则上应由博主与商家直接沟通并依法解决。券宝宝可酌情提供合理的沟通协助或记录,但除适用法律另有规定或券宝宝自身存在独立过错外,不因此成为该争议的责任方、担保人或赔偿义务人。

2.4 券宝宝不保证任何商家、邀约、体验、收入、曝光量、粉丝增长、内容表现或后续合作机会。博主应根据活动信息自行判断是否接受邀约。

3. AI 匹配、博主画像与推荐机制

3.1 为提高匹配效率,券宝宝可使用算法或人工智能对博主进行画像、评分、排序及推荐。可能使用的因素包括内容品类、粉丝量及互动表现、所在区域、可约时间、历史接受或拒绝情况、到店及发布履约记录、商家反馈、多平台公开表现,以及博主主动提供的偏好和合作条件。

3.2 匹配分数、标签及推荐结果仅用于营销合作的匹配与运营决策,不构成对博主人格、信用、专业资质或未来表现的保证。平台可在合理情况下提供人工复核或运营介入。

3.3 博主理解,其履约表现(例如准时到店、按约发布、无故爽约、临时取消、失联、删除内容等)可能影响后续匹配排序及获邀机会。平台应以与服务目的相关、合理且不过度的方式使用该等数据。

3.4 博主可按照平台隐私政策及适用法律申请访问或更正其个人资料。对明显错误并可能实质影响匹配结果的数据,博主可申请合理复核。

4. 邀约、接受、档期及履约

4.1 博主可自行决定接受或拒绝邀约。除已明确接受并形成具体合作安排外,平台不得仅因博主拒绝某一次邀约而强迫其参与。

4.2 博主接受邀约前应阅读商家名称、地点、时间、可携带人数、提供的套餐或服务、发布平台、发布时间、内容要求及其他重要条件。接受后,博主应本着诚信原则按确认的时间和条件履约。

4.3 如无法到店或履约,博主应尽早通过平台或指定渠道取消或申请改期。无合理原因的重复爽约、临时取消、失联或虚假确认,可能导致降低匹配优先级、暂停邀约或限制账户;任何措施均应与违约性质及平台合法利益相称。

4.4 商家临时变更已确认的核心条件时,博主可拒绝实质性变更并通过平台反馈。券宝宝可协助沟通或重新匹配,但不保证商家一定接受改期、补偿或其他解决方案。

5. 内容真实性、独立意见及广告披露

5.1 博主必须基于本人真实到店、真实体验或实际使用的商品或服务创作内容,不得发布虚构体验、伪造交易、虚假到店、虚假互动数据或其他可能误导消费者的内容。

5.2 商家或券宝宝不得要求博主必须给出好评、指定星级、预设正面结论或以获得免费餐食、礼品、服务、报酬或其他利益为条件强迫博主发表正面意见。博主应保留对真实体验作出正面、中立或负面评价的独立判断。

5.3 博主同时不得以威胁发布负面内容、索取超出已约定范围的免费商品、现金、额外服务或其他利益,亦不得以删除或修改真实内容作为不当索取利益的手段。

5.4 如博主因内容获得免费餐食、礼品、折扣、服务、现金、佣金或其他有价值利益,博主应以清晰、醒目且消费者容易理解的方式披露商业、赞助、赠送或激励关系,并遵守适用的澳大利亚法律、监管要求及相关社交媒体平台规则。

5.5 博主不得作出其明知或理应知道为虚假、误导或缺乏合理依据的事实性陈述,包括有关价格、功效、健康、美容效果、专业资质、食品成分或商家承诺的陈述。

6. 商家商品、服务及现场风险

6.1 博主应自行评估是否适合参与某项体验,并在需要时向商家直接确认过敏原、饮食限制、身体条件、专业服务风险、年龄限制、保险、许可或安全事项。券宝宝展示或传递商家信息不构成对其准确性、安全性、合法性或适合性的独立保证。

6.2 对于需要专业判断或可能涉及身体风险的美容、美发、按摩、健身、娱乐活动等服务,博主应在接受前自行进行合理判断并向实际服务提供者询问相关风险。

6.3 在法律允许的最大范围内,因商家提供的商品或服务本身产生的责任应由实际责任主体承担。本条款不排除、限制或修改任何依法不得排除、限制或修改的权利、消费者保障或责任。

7. 博主行为规范

7.1 博主在到店、活动及与商家或平台沟通期间应保持合理、专业和尊重的行为,不得骚扰、威胁、歧视、辱骂商家员工、其他博主或平台人员。

7.2 博主不得冒充他人、购买或伪造粉丝及互动数据、提交他人账号或内容作为自己的履约证明、利用自动化工具刷量,或以其他方式操纵平台评分、商家判断或消费者认知。

7.3 博主不得未经授权公开商家后台资料、非公开联系人信息、其他博主个人信息、平台内部评分、商业机密或在合作中获悉的其他保密信息。

7.4 博主应遵守商家现场合理且合法的安全、拍摄、隐私及场地规则,但该等规则不得被用于要求博主实施违法或误导性行为。

8. 内容权利、肖像及平台使用许可

8.1 博主原则上保留其原创内容的知识产权,但应确保其上传或发布的文字、照片、视频、音乐、商标、人物肖像及其他素材拥有必要权利、许可或合法使用依据。

8.2 为提供和运营服务,博主授予券宝宝一项非独占、免版税、可在提供服务所合理必要范围内使用的许可,以存储、展示、复制、技术处理、生成预览、向相关商家展示其公开或提交的合作内容及履约证明,并用于平台内部运营、风控、争议处理和服务改进。

8.3 除非活动规则或博主另行明确同意,前述许可不当然授权券宝宝或商家将博主内容用于付费广告、永久商业代言、户外广告、第三方再许可或对内容进行实质性改编。该等商业使用应另行取得必要授权。

8.4 博主向平台提交其社交媒体账号、帖子链接或截图,即授权券宝宝在本次合作、履约核验、数据分析及争议处理所合理必要的范围内访问和处理相关信息。

9. 隐私条款及个人信息收集

9.1 券宝宝可能收集博主的姓名或昵称、手机号码、电子邮箱、社交媒体账号及公开资料、头像、所在区域、可约时间、内容偏好、粉丝及互动数据、合作历史、到店及发布记录、商家评价、聊天及客服记录、设备和使用日志、付款或税务所必需的信息,以及博主主动提供的其他信息。

9.2 券宝宝将仅在与服务合理相关或法律允许的范围内收集、持有、使用和披露个人信息,包括:建立和管理账户;验证身份及账号;进行 AI 匹配和推荐;向博主发送合作邀约;向商家展示与候选选择合理相关的博主资料;协调档期、到店和发布;处理付款(如适用);客户支持、争议处理、安全及反欺诈;分析和改善服务;以及履行法律、税务和监管义务。

9.3 券宝宝应避免向商家披露与合作无关且没有合理必要性的个人信息。除非为履行已接受的合作、获得博主同意或法律允许,博主的私人联系方式不应被商家用于未经授权的批量营销、出售或另作无关用途。

9.4 券宝宝可能向为服务提供必要支持的短信或通信服务商、云服务商、支付服务商、数据分析及技术供应商披露必要信息,并应在适用情况下采取合理措施要求服务提供商实施适当的数据保护。

9.5 若个人信息被披露给澳大利亚境外接收方,券宝宝将在适用 Privacy Act 1988 (Cth)  Australian Privacy Principles 的情况下,按照相关要求采取合理措施管理跨境披露风险,并在隐私政策要求时说明相关国家或地区。

9.6 博主可依据平台隐私政策及适用法律申请访问或更正个人信息,并可通过指定隐私联系渠道提出投诉。最终上线版本应明确隐私联系人、联系方式、投诉流程及合理的数据保留期限。

10. 数据使用、公开数据及画像更新

10.1 对博主公开发布的社交媒体资料,券宝宝仅应在适用法律、平台规则及合理业务目的允许的范围内收集或使用。公开可见并不当然意味着该信息可被无限制使用。

10.2 平台可将合作过程中产生的履约、响应、偏好和反馈数据写回博主画像,用于未来匹配、质量控制、反欺诈和服务改进。平台不得以与上述目的明显无关的方式出售博主的个人信息。

10.3 在可行情况下,平台可使用汇总或去标识化数据进行产品分析、商业统计、模型评估和服务改进。去标识化数据不应被有意重新识别,除非法律允许并为安全、测试或合规所合理必要。

10.4 如平台使用自动化处理对博主获邀机会产生实质影响,应保持合理透明度,并在适当情况下提供纠错或人工复核渠道。

11. 短信、App 通知及营销信息

11.1 博主同意平台可发送与其账户、已表达兴趣或已接受的合作直接相关的服务性通知,例如邀约、档期确认、到店提醒、发布提醒、安全提示和客服信息。

11.2 对属于商业电子信息的短信、电子邮件或其他营销信息,券宝宝将按照适用的 Spam Act 2003 (Cth) 等法律要求处理同意、发送方识别及退订机制。

11.3 博主可通过平台提供的退订方式停止接收营销信息。退订营销信息不影响平台发送为履行已接受合作、账户安全或法律义务所合理必要的非营销服务通知。

11.4 博主不得利用通过平台获得的商家或其他用户联系方式发送未经授权的垃圾信息、批量推广或与合作无关的营销。

12. 付款、税务及独立身份(如适用)

12.1 如某项活动包含现金报酬、佣金或其他付款,具体金额、付款主体、付款条件、发票或税务要求以该活动页面、订单或另行书面约定为准。券宝宝仅在明确书面说明其为付款方时承担相应付款义务。

12.2 除非适用法律根据实际关系另有认定,博主以独立内容创作者身份参与平台,不因使用平台而成为券宝宝的雇员、合伙人、代理人、特许经营商或合资方,且无权代表券宝宝作出承诺。

12.3 博主负责根据自身情况处理 ABNGST、所得税、申报及其他税务或经营义务。券宝宝不向博主提供税务、会计或法律建议。

12.4 本条不得用于规避任何依法适用于实际工作关系的强制性雇佣、劳动或税务权利。

13. 账户安全、暂停及终止

13.1 博主应妥善保护账户及验证码,不得转售、出租或允许未经授权人员冒用其账户参与合作。

13.2 如有合理依据认为博主存在欺诈、伪造数据、严重或重复爽约、骚扰、滥用个人信息、违反披露义务、发布明显虚假或误导性内容、危害平台安全或其他重大违约,券宝宝可采取警告、降低邀约优先级、暂停特定功能或终止账户等与风险相称的措施。

13.3 在合理可行且不存在紧急安全、欺诈或法律风险的情况下,平台应向博主说明采取重大限制措施的基本原因,并可提供申诉或复核渠道。

13.4 终止后,依法或为结算、税务、反欺诈、争议处理、知识产权、隐私、安全及监管义务所需的条款和数据处理可继续有效。

14. 免责声明、责任限制及不可排除权利

14.1 在法律允许的最大范围内,券宝宝不对第三方商家的商品或服务质量、可用性、适销性、安全性、专业效果、现场行为或商家提供信息的准确性作独立保证,也不对社交媒体平台算法变化、账号限制、自然流量波动或其他超出券宝宝合理控制的第三方因素负责。

14.2 对商家与博主之间的争议,券宝宝可提供合理沟通协助,但不承担必须调解、赔偿、退款、替代履约或代表任何一方解决争议的义务,除非券宝宝另有明确书面承诺或适用法律要求。

14.3 本条款任何内容均不排除、限制或修改 Australian Consumer Law 或其他适用法律下依法不得排除、限制或修改的消费者保障、法定权利、救济或责任。

14.4 在法律允许限制责任的范围内,最终上线条款可设置合理且与服务性质及风险相称的责任限制,但不得构成不公平合同条款,也不得试图排除不可排除的法定责任。

15. 博主对自身行为的责任

15.1 博主对其自行创作和发布的内容、其作出的事实陈述、其拥有或使用的知识产权、其在商家场所的行为以及其违反本条款或法律的行为承担相应责任。

15.2 如因博主故意或过失的违法行为、侵犯第三方权利、欺诈或未经授权披露保密信息而导致第三方向券宝宝提出索赔,博主可能依法承担相应责任。任何赔偿或追偿均受适用法律约束,不应扩大至博主无法合理控制或由券宝宝自身过错造成的损失。

16. 投诉、争议解决及监管投诉

16.1 博主如对邀约、匹配、账户限制、隐私、付款或商家履约存在问题,应尽快通过券宝宝客服提交相关订单、聊天记录、照片或其他合理证据。券宝宝可在平台职责范围内协助核实和沟通。

16.2 对商家实际商品或服务产生的争议,博主应优先直接与商家协商;如无法解决,博主可依法向相关消费者事务机构、监管机构、法院或仲裁/调解渠道寻求救济。

16.3 隐私投诉可按照平台隐私政策处理;本条款不限制博主依法向 Office of the Australian Information Commissioner (OAIC)Australian Competition and Consumer Commission (ACCC)Australian Communications and Media Authority (ACMA) 或其他有管辖权机构投诉或行使法定权利。

17. 适用法律及管辖

17.1 本条款受澳大利亚联邦法律及维多利亚州法律管辖。

17.2 在法律允许的范围内,双方接受维多利亚州有管辖权的法院和法庭的管辖;但本条不限制博主依法在其他有管辖权的法院、法庭或消费者争议机构提起程序的权利。

18. 条款更新、可分割性及完整约定

18.1 券宝宝可因法律、监管、产品功能或运营要求变化而更新本条款。对实质性不利影响博主权利或义务的重大变更,应通过合理方式提前通知。除法律要求或双方另有约定外,已确认合作原则上适用接受该合作时的核心商业条件。

18.2 如本条款任何部分被认定无效、违法或不可执行,应在法律允许范围内予以必要限缩或分割,其余条款继续有效。

18.3 本条款与具体活动页面、订单或书面确认共同构成相关服务安排。若具体活动条件与本条款冲突,具体活动条件仅在该具体合作范围内优先,但不得排除不可排除的法定权利。

Creator Terms of Service

 

1. Scope, Contracting Party and Acceptance

1.1 These Creator Terms of Service (the Terms”) apply to content creators, influencers, bloggers, KOLs/KOCs and their lawfully authorised representatives (collectively, Creators”) who register for, join, accept invitations through, or otherwise use the Couponer AI Influencer Invitation System and related services (the Platform” or Service”). The Service is provided by Grow Rich Marketing Pty Ltd or its nominated operating entity (Couponer” or the Platform Provider”).

1.2 By registering an account, submitting information, accepting a Merchant invitation, clicking to accept these Terms, or actually using the Service, a Creator confirms that they have read, understood and agree to be bound by these Terms and the Privacy Policy, Data Use Policy and campaign rules then applicable to the Platform.

1.3 A Creator must be at least 18 years old and have legal capacity to enter into these Terms. A person under 18 may use the Service only where permitted by applicable law and with valid consent from a parent or legal guardian who assumes the responsibilities required by law.

1.4 Where a Creator participates through an agency, studio or representative, that representative warrants that it is authorised to accept these Terms on the Creators behalf. The Creator remains personally responsible for obligations concerning content authenticity, disclosure, conduct at the Merchant venue and personal information.

2. Nature of the Platform and Couponers Role

2.1 Couponer provides technology, information-matching, AI matching, invitation delivery and communication-coordination services. The Platform may assist with collecting Merchant requirements, screening and recommending Creators, sending SMS or App invitations, coordinating availability, issuing attendance reminders, following up publication and recording fulfilment information.

2.2 Unless Couponer expressly agrees in writing that it is the supplier of the relevant goods or services, Couponer is not the manufacturer, seller or actual provider of food and beverage, entertainment, beauty or hairdressing services, retail goods, events, venues or other experiences supplied by a Merchant. Couponer does not control the Merchants on-site operations, safety management, product quality, food or allergen information, hygiene, professional service quality, licences or qualifications, or staff conduct.

2.3 Disputes between a Merchant and Creator concerning product or service quality, on-site service, bookings, refunds, loss, injury, allergic reactions, property damage, non-conforming services, staff conduct or other matters arising from the Merchants actual supply should, in principle, be discussed and resolved directly between the Creator and the Merchant in accordance with law. Couponer may, at its discretion, provide reasonable communication assistance or records, but does not thereby become a liable party, guarantor or indemnifying party, except to the extent required by applicable law or arising from Couponers own independent fault.

2.4 Couponer does not guarantee any Merchant, invitation, experience, income, exposure, follower growth, content performance or future collaboration opportunity. Creators should independently assess whether to accept a campaign based on the information provided.

3. AI Matching, Creator Profiles and Recommendation Mechanisms

3.1 To improve matching efficiency, Couponer may use algorithms or artificial intelligence to profile, score, rank and recommend Creators. Factors may include content category, follower size and engagement performance, location, availability, historical acceptance or rejection, attendance and publication fulfilment records, Merchant feedback, publicly available cross-platform performance, and preferences or collaboration conditions voluntarily provided by the Creator.

3.2 Matching scores, labels and recommendations are used only for marketing-collaboration matching and operational decision support and do not constitute a guarantee of a Creators character, creditworthiness, professional qualifications or future performance. The Platform may provide human review or operational intervention where reasonably appropriate.

3.3 The Creator understands that fulfilment behaviour, including punctual attendance, publication as agreed, unjustified no-shows, late cancellation, non-response or deletion of content, may affect future ranking and invitation opportunities. Such data should be used in a manner that is relevant, reasonable and proportionate to the purpose of the Service.

3.4 A Creator may request access to or correction of personal information in accordance with the Privacy Policy and applicable law. Where data is clearly inaccurate and may materially affect matching, the Creator may request reasonable review.

4. Invitations, Acceptance, Scheduling and Fulfilment

4.1 A Creator may choose whether to accept or reject an invitation. Unless the Creator has expressly accepted and a specific collaboration arrangement has been formed, the Platform must not compel participation merely because the Creator rejected a particular invitation.

4.2 Before accepting an invitation, the Creator should review the Merchant name, location, date and time, permitted number of attendees, package or service offered, publication platform, publication timing, content requirements and other material conditions. Once accepted, the Creator must act in good faith and perform in accordance with the confirmed time and conditions.

4.3 If the Creator cannot attend or perform, the Creator should cancel or request rescheduling as early as possible through the Platform or designated channel. Repeated no-shows, late cancellations, non-response or false confirmations without reasonable cause may result in reduced matching priority, suspension of invitations or account restrictions, provided that any measure is proportionate to the nature of the breach and the Platforms legitimate interests.

4.4 If a Merchant materially changes a confirmed core condition at short notice, the Creator may reject the material change and report it through the Platform. Couponer may assist with communication or rematching but does not guarantee that the Merchant will accept rescheduling, compensation or any other solution.

5. Content Authenticity, Independent Opinion and Advertising Disclosure

5.1 A Creator must create content based on the Creators own genuine attendance, experience or actual use of the relevant goods or services and must not publish fabricated experiences, fake transactions, false attendance, falsified engagement data or other content that may mislead consumers.

5.2 Neither a Merchant nor Couponer may require a Creator to provide a positive review”, a specified star rating or a predetermined positive conclusion, or make receipt of complimentary food, gifts, services, payment or other benefits conditional upon a positive opinion. The Creator must retain independent judgment to express a genuine positive, neutral or negative opinion based on the actual experience.

5.3 A Creator must not threaten negative content in order to obtain complimentary goods, cash, additional services or other benefits beyond what was agreed, and must not use deletion or modification of genuine content as a means of improperly extracting a benefit.

5.4 Where a Creator receives complimentary food, gifts, discounts, services, cash, commissions or any other thing of value in connection with content, the Creator must clearly and prominently disclose the commercial, sponsored, gifted or incentivised relationship in a manner readily understood by consumers and comply with applicable Australian law, regulatory requirements and relevant social-media platform rules.

5.5 A Creator must not make factual claims that the Creator knows, or ought reasonably to know, are false, misleading or lack reasonable grounds, including claims about price, efficacy, health or beauty outcomes, professional qualifications, food ingredients or Merchant promises.

6. Merchant Goods, Services and On-Site Risks

6.1 A Creator is responsible for assessing whether a particular experience is suitable for them and, where necessary, directly confirming with the Merchant any allergens, dietary restrictions, health considerations, professional-service risks, age restrictions, insurance, licensing or safety matters. Couponers display or transmission of Merchant information is not an independent guarantee of its accuracy, safety, legality or suitability.

6.2 For beauty, hairdressing, massage, fitness, entertainment or other services requiring professional judgment or involving potential bodily risk, the Creator should exercise reasonable judgment before accepting and ask the actual service provider about relevant risks.

6.3 To the maximum extent permitted by law, liability arising from the goods or services actually supplied by a Merchant is to be borne by the party legally responsible for that supply. Nothing in these Terms excludes, restricts or modifies any right, consumer guarantee or liability that cannot lawfully be excluded, restricted or modified.

7. Creator Conduct

7.1 During visits, events and communications with Merchants or the Platform, a Creator must behave reasonably, professionally and respectfully and must not harass, threaten, discriminate against or abuse Merchant staff, other Creators or Platform personnel.

7.2 A Creator must not impersonate another person, purchase or falsify followers or engagement data, submit another persons account or content as proof of their own fulfilment, use automated tools to generate fake engagement, or otherwise manipulate Platform scores, Merchant decisions or consumer perceptions.

7.3 A Creator must not disclose without authorisation Merchant back-end information, non-public contact details, another Creators personal information, internal Platform scores, trade secrets or other confidential information learned through a collaboration.

7.4 A Creator must comply with reasonable and lawful on-site safety, filming, privacy and venue rules imposed by a Merchant, but those rules must not be used to require unlawful or misleading conduct.

8. Content Rights, Likeness and Platform Licence

8.1 A Creator generally retains intellectual property rights in their original content but must ensure that they hold the necessary rights, licences or lawful basis for any text, photographs, video, music, trade marks, likenesses or other materials uploaded or published.

8.2 For the purpose of providing and operating the Service, the Creator grants Couponer a non-exclusive, royalty-free licence, limited to what is reasonably necessary to provide the Service, to store, display, reproduce, technically process and generate previews of the Creators public or submitted collaboration content and fulfilment evidence, to show that material to the relevant Merchant, and to use it for internal operations, risk management, dispute handling and service improvement.

8.3 Unless campaign rules provide otherwise or the Creator separately gives express consent, the licence above does not automatically authorise Couponer or a Merchant to use Creator content in paid advertising, perpetual commercial endorsements, outdoor advertising, third-party sublicensing or material adaptations. Any such commercial use requires the necessary separate permission.

8.4 By submitting a social-media account, post link or screenshot to the Platform, the Creator authorises Couponer to access and process the relevant information to the extent reasonably necessary for the collaboration, fulfilment verification, data analysis and dispute handling.

9. Privacy Terms and Collection of Personal Information

9.1 Couponer may collect a Creators name or nickname, mobile number, email address, social-media accounts and public profile information, profile image, location or area, availability, content preferences, follower and engagement data, collaboration history, attendance and publication records, Merchant feedback, chat and customer-support records, device and usage logs, information necessary for payment or tax purposes, and other information voluntarily provided by the Creator.

9.2 Couponer will collect, hold, use and disclose personal information only to the extent reasonably related to the Service or otherwise permitted by law, including to create and administer accounts; verify identity and accounts; conduct AI matching and recommendations; send collaboration invitations; show Merchants Creator information reasonably relevant to candidate selection; coordinate scheduling, attendance and publication; process payments where applicable; provide customer support and dispute handling; maintain security and prevent fraud; analyse and improve the Service; and meet legal, tax and regulatory obligations.

9.3 Couponer should avoid disclosing to Merchants personal information that is unrelated to the collaboration and not reasonably necessary. Unless required to perform an accepted collaboration, consented to by the Creator or otherwise permitted by law, a Creators private contact details should not be used by a Merchant for unauthorised bulk marketing, sale or unrelated purposes.

9.4 Couponer may disclose necessary information to SMS or communications providers, cloud service providers, payment providers, analytics providers and technology suppliers that provide necessary support for the Service and, where applicable, should take reasonable steps to require appropriate data-protection measures.

9.5 Where personal information is disclosed to an overseas recipient, Couponer will, where the Privacy Act 1988 (Cth) and Australian Privacy Principles apply, take reasonable steps as required to manage cross-border disclosure risks and identify relevant countries or regions in its Privacy Policy where required.

9.6 A Creator may request access to or correction of personal information in accordance with the Privacy Policy and applicable law and may make a complaint through the designated privacy contact channel. The final production version should identify the privacy contact, contact details, complaint process and reasonable data-retention periods.

10. Data Use, Public Data and Profile Updates

10.1 Couponer should collect or use publicly available social-media information only to the extent permitted by applicable law, platform rules and reasonable business purposes. The fact that information is publicly visible does not, by itself, mean that it may be used without limitation.

10.2 The Platform may write fulfilment, response, preference and feedback data generated through collaborations back to a Creator profile for future matching, quality control, fraud prevention and service improvement. The Platform must not sell a Creators personal information for purposes plainly unrelated to those purposes.

10.3 Where practicable, the Platform may use aggregated or de-identified data for product analysis, business statistics, model evaluation and service improvement. De-identified data should not be intentionally re-identified unless permitted by law and reasonably necessary for security, testing or compliance.

10.4 Where automated processing materially affects a Creators opportunity to receive invitations, the Platform should maintain reasonable transparency and, where appropriate, provide a correction or human-review channel.

11. SMS, App Notifications and Marketing Communications

11.1 The Creator agrees that the Platform may send service communications directly related to the Creators account, expressed interest or accepted collaborations, including invitations, scheduling confirmations, attendance reminders, publication reminders, security notices and customer-support communications.

11.2 For SMS, email or other marketing communications that constitute commercial electronic messages, Couponer will address consent, sender identification and unsubscribe mechanisms in accordance with the Spam Act 2003 (Cth) and other applicable law.

11.3 A Creator may stop receiving marketing communications using the unsubscribe method provided by the Platform. Opting out of marketing does not prevent the Platform from sending non-marketing service communications reasonably necessary to perform an accepted collaboration, maintain account security or meet legal obligations.

11.4 A Creator must not use Merchant or other user contact details obtained through the Platform to send unauthorised spam, bulk promotions or marketing unrelated to the relevant collaboration.

12. Payments, Tax and Independent Status (where applicable)

12.1 Where a campaign includes cash remuneration, commission or other payment, the amount, payer, payment conditions, invoicing and tax requirements will be governed by the campaign page, order or separate written agreement. Couponer is responsible for payment only where it expressly confirms in writing that it is the payer.

12.2 Unless applicable law determines otherwise based on the actual relationship, a Creator participates as an independent content creator and does not become an employee, partner, agent, franchisee or joint venturer of Couponer merely by using the Platform, and has no authority to make commitments on Couponers behalf.

12.3 The Creator is responsible, having regard to their own circumstances, for ABN, GST, income tax, reporting and other tax or business obligations. Couponer does not provide tax, accounting or legal advice to Creators.

12.4 This clause must not be used to avoid any mandatory employment, workplace or tax right that applies by law to the actual relationship.

13. Account Security, Suspension and Termination

13.1 A Creator must protect their account and verification codes and must not sell, rent or allow an unauthorised person to use the account to participate in collaborations.

13.2 Where there are reasonable grounds to believe that a Creator has engaged in fraud, falsified data, serious or repeated no-shows, harassment, misuse of personal information, breach of disclosure obligations, clearly false or misleading content, threats to Platform security or another material breach, Couponer may take proportionate measures including warnings, reduced invitation priority, suspension of particular functions or account termination.

13.3 Where reasonably practicable and there is no urgent safety, fraud or legal risk, the Platform should provide the Creator with the basic reason for a material restriction and may provide an appeal or review channel.

13.4 Following termination, provisions and data processing reasonably required by law or for settlement, tax, fraud prevention, dispute handling, intellectual property, privacy, security and regulatory obligations may continue to apply.

14. Disclaimers, Limitation of Liability and Non-Excludable Rights

14.1 To the maximum extent permitted by law, Couponer makes no independent guarantee concerning the quality, availability, merchantability, safety, professional outcome or on-site conduct associated with third-party Merchant goods or services, or the accuracy of information supplied by a Merchant, and is not responsible for social-media algorithm changes, account restrictions, organic traffic fluctuations or other third-party factors outside Couponers reasonable control.

14.2 For disputes between a Merchant and Creator, Couponer may provide reasonable communication assistance but is not obliged to mediate, compensate, refund, provide substitute performance or resolve the dispute on behalf of either party unless Couponer has expressly agreed otherwise in writing or applicable law requires it.

14.3 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory right, remedy or liability under the Australian Consumer Law or other applicable law that cannot lawfully be excluded, restricted or modified.

14.4 To the extent liability may lawfully be limited, the final production terms may include a reasonable limitation of liability proportionate to the nature and risks of the Service, provided that it does not constitute an unfair contract term or purport to exclude non-excludable statutory liability.

15. Creator Responsibility for Their Own Conduct

15.1 A Creator is responsible for content they independently create and publish, factual statements they make, intellectual property they own or use, their conduct at Merchant premises, and conduct that breaches these Terms or applicable law.

15.2 If a third party makes a claim against Couponer because of the Creators intentional or negligent unlawful conduct, infringement of third-party rights, fraud or unauthorised disclosure of confidential information, the Creator may be responsible to the extent provided by law. Any indemnity or recovery is subject to applicable law and should not extend to losses outside the Creators reasonable control or caused by Couponers own fault.

16. Complaints, Dispute Resolution and Regulatory Complaints

16.1 If a Creator has an issue concerning an invitation, matching, account restriction, privacy, payment or Merchant performance, the Creator should promptly submit the relevant order, chat records, photographs or other reasonable evidence through Couponer customer support. Couponer may assist with verification and communication within the scope of the Platforms role.

16.2 For disputes arising from the Merchants actual goods or services, the Creator should first attempt to resolve the matter directly with the Merchant. If unresolved, the Creator may seek remedies through relevant consumer affairs bodies, regulators, courts, or available mediation or dispute-resolution channels in accordance with law.

16.3 Privacy complaints may be handled in accordance with the Privacy Policy. Nothing in these Terms limits the Creators right to make a complaint to the Office of the Australian Information Commissioner (OAIC), Australian Competition and Consumer Commission (ACCC), Australian Communications and Media Authority (ACMA) or another regulator with jurisdiction, or to exercise statutory rights.

17. Governing Law and Jurisdiction

17.1 These Terms are governed by the laws of the Commonwealth of Australia and the State of Victoria.

17.2 To the extent permitted by law, the parties submit to the jurisdiction of courts and tribunals of competent jurisdiction in Victoria. This clause does not limit a Creators right under applicable law to bring proceedings in another court, tribunal or consumer dispute body with jurisdiction.

18. Changes, Severability and Entire Arrangement

18.1 Couponer may update these Terms to reflect changes in law, regulation, product functionality or operational requirements. Material changes that adversely affect a Creators rights or obligations should be notified in advance by reasonable means. Unless required by law or otherwise agreed, a confirmed collaboration should generally remain subject to the core commercial conditions applicable when the Creator accepted that collaboration.

18.2 If any part of these Terms is held invalid, unlawful or unenforceable, it should be read down or severed to the extent permitted by law, and the remaining provisions will continue in effect.

18.3 These Terms, together with the relevant campaign page, order or written confirmation, form the arrangement for the relevant Service. If a specific campaign condition conflicts with these Terms, the specific campaign condition prevails only for that collaboration and cannot exclude any non-excludable statutory right.
