1. 合同主体与接受条款

1.1 本条款适用于使用券宝宝 Couponer AI 博主邀约系统(以下简称服务)的商家、品牌、门店或其授权代表(以下简称商家)。服务由 Grow Rich Marketing Pty Ltd 或其指定运营主体(以下简称券宝宝)提供。

1.2 商家注册、购买套餐、提交博主邀约需求、点击同意或实际使用服务,即表示商家已阅读并同意受本条款及适用的隐私政策、数据使用政策约束。

1.3 商家代表确认其具有代表相关企业订立本协议及提交营销活动的充分授权。

2. 服务内容与平台定位

2.1 券宝宝提供 AI 辅助的博主需求收集、候选博主筛选与匹配、邀约发送、档期沟通、到店提醒及发布跟进等工具。系统可通过券宝宝 App、短信或其他已获许可的通讯渠道触达博主。

2.2 AI 匹配可参考与合作相关的数据,例如粉丝规模、内容类别、所在区域、可约档期、历史履约、商家反馈以及公开或经授权取得的跨平台信息,以提高匹配效率。

2.3 券宝宝是技术及撮合服务提供方。除另有书面约定外,券宝宝不保证任何特定博主接受邀约、到店、发布内容、达到特定浏览量、点赞量、销售额、客流或其他商业结果。

2.4 系统提供的匹配分数、排序、推荐和预测仅作为辅助决策信息,商家应结合自身需求作最终判断。

3. 商家提交信息与邀约规则

3.1 商家应真实、准确、完整地提交活动信息,包括门店、套餐或体验价值、可接待人数、日期和时间、内容方向、发布平台及其他必要条件,并及时更新发生变化的信息。

3.2 商家不得提交违法、虚假、误导、歧视、侵权或与实际服务不一致的要求,也不得要求博主作出其没有合理依据支持的产品或服务声明。

3.3 商家应按已确认的邀约条件向博主提供相应餐饮、娱乐、美容美发或其他体验,不得在博主到店后无合理理由单方面降低已确认权益。

3.4 商家可提出真实且合理的内容方向、必须披露的事实信息、品牌素材规范和合规要求,但不得控制博主的真实评价或要求博主隐瞒商业合作关系。

4. 真实评价、广告披露与禁止刷好评

4.1 商家不得以任何方式要求、强迫、诱导或施压博主必须发布好评、指定星级、指定正面结论,亦不得以删除真实负面意见作为提供套餐、赠品、付款或其他利益的条件。

4.2 商家不得要求博主发布其未真实体验过的内容,不得安排虚假评论、虚构消费经历、伪造互动数据或其他可能误导消费者的内容。

4.3 如博主因免费餐饮、赠品、服务、现金、折扣或其他利益而发布内容,商家应配合券宝宝及博主作出清晰、显著且不具误导性的商业合作/赞助披露,并遵守相关平台规则。

4.4 如商家提供任何评论激励,该激励不得以评论为正面或负面作为条件,并应清楚披露激励关系。

4.5 券宝宝有权拒绝、暂停或终止明显涉及刷好评、虚假宣传、隐瞒商业关系或其他违法违规要求的活动。

5. 套餐、名额、费用与支付

5.1 当前商业方案可包括:免费体验(2位博主名额)、标准套餐(A$199 / 5位博主名额)及尊享套餐(A$299 / 12位博主名额)。具体价格、GST、活动期限、排期优先级及权益以购买页面或双方书面确认的最新订单为准。

5.2 名额指可由系统用于匹配和邀约的服务额度,不当然等同于最终到店人数、成功发布数量或曝光结果;如产品页面另有明确承诺,则以该承诺为准。

5.3 除法律要求或订单另有约定外,已开始执行的服务费用是否可退、可转或可补发,应根据未履行服务、取消原因及 Australian Consumer Law 下不可排除的权利处理。

5.4 券宝宝不会通过本条款排除、限制或修改依法不能排除、限制或修改的消费者或小企业法定权利。

6. 排期、取消、到店与发布

6.1 商家应提供真实可接待档期。系统匹配的时间以商家确认的可接待时间为基础,券宝宝不对因商家临时关闭、满位、人员安排变化等造成的履约失败承担责任。

6.2 如博主取消、失联、未到店或未按约发布,券宝宝可根据套餐规则进行重新匹配、补邀、跟进或其他合理补救,但不保证任何单一博主的履约。

6.3 商家不得绕过平台,以规避已确认订单、平台费用或数据保护安排为目的,利用通过本服务获得的非公开博主联系方式进行未经许可的批量营销。

6.4 商家如对内容存在事实性错误、知识产权侵权、隐私风险或明显违法问题,可向券宝宝提出复核;商家不得仅因内容评价不够正面而要求删除真实评价。

7. AI 匹配、自动化决策与人工复核

7.1 为提高效率,券宝宝可使用算法或 AI 对候选博主进行评分、排序和推荐。可能使用的因素包括内容匹配度、区域、档期、粉丝及互动表现、历史合作与履约数据、商家反馈及多平台影响力等。

7.2 券宝宝将尽合理努力避免使用与营销匹配无关的敏感属性进行差别待遇,并可在必要时提供人工复核或运营介入。

7.3 AI 输出可能存在误差。商家不得将系统评分解释为对博主人格、信用、专业资格或未来商业效果的保证。

8. 隐私与数据使用政策

8.1 券宝宝可能收集和处理商家联系人姓名、职位、手机号、电子邮箱、门店信息、活动需求、聊天记录、订单与支付记录、操作日志及与服务交付相关的信息。

8.2 上述信息可用于:创建和管理账户;理解活动需求;完成 AI 匹配与邀约;发送服务通知;安排到店与发布;客户支持;防欺诈与安全;服务分析和改进;履行法律、税务和监管义务。

8.3 在必要范围内,券宝宝可向受邀博主、短信/通讯服务商、云服务商、支付服务商、分析或技术供应商披露相关信息。券宝宝应要求服务提供商采取适当的数据保护措施,并仅在提供服务所需范围内使用数据。

8.4 若个人信息被披露至澳大利亚境外,券宝宝将按照适用的 Privacy Act 及 Australian Privacy Principles 采取合理措施管理跨境披露风险,并在隐私政策中说明可能涉及的国家或地区(如适用)。

8.5 商家不得擅自抓取、出售、公开或用于与本次合作无关目的的博主个人信息。商家仅可在合理必要范围内使用平台提供的博主信息完成邀约、接待、合作沟通和合规记录。

8.6 商家应确保其向券宝宝提供任何第三方个人信息具有合法依据,并已完成必要告知或取得必要同意。

8.7 商家可按券宝宝隐私政策申请访问或更正其个人信息,并可就隐私问题或投诉联系券宝宝指定的隐私联系渠道。具体联系邮箱、地址及投诉处理时限应在正式隐私政策中列明。

9. 短信、App 通知与直接营销

9.1 与已确认邀约、档期、到店提醒、发布跟进直接相关且不含促销内容的服务通知,可作为服务履约通讯发送。

9.2 如短信、电子邮件或其他电子消息包含营销或推广内容,发送方应确保具有适用法律要求的同意,并准确标识发送方及提供有效、清晰的退订方式。

9.3 商家不得要求券宝宝向未同意接收商业电子信息的博主发送违法营销信息,也不得将通过平台取得的联系方式导出后自行进行未经许可的群发。

9.4 对选择退出营销通讯的个人,应按照适用法律及平台流程停止相关营销触达;退出营销不影响必要的交易或服务通知。

10. 知识产权与内容使用

10.1 券宝宝系统、软件、界面、算法、商标、品牌素材及平台内容中的知识产权归券宝宝或相关权利人所有。

10.2 商家保留其上传的商标、图片、菜单、活动资料等内容的权利,并授予券宝宝在提供、推广及改进本服务所合理必要范围内的非独占使用许可。

10.3 博主创作内容的著作权及商家可使用范围,应以博主授权、平台规则或具体活动约定为准。商家不得因支付套餐费用即当然取得博主作品的永久、全球、可转授权版权。

10.4 商家如希望将博主内容用于付费广告、官网、电商页面、线下广告或二次剪辑,应另行确认相应授权范围。

11. 数据安全、保留与删除

11.1 券宝宝将采取与数据性质和风险相称的合理技术和组织措施保护个人信息,防止未经授权的访问、修改、披露、丢失或滥用。

11.2 数据保留期限应以提供服务、争议处理、财务与税务记录、欺诈防范及法律义务所合理需要的期限为限;不再需要且法律无须保留的信息,应按适用法律采取合理步骤删除或去标识化。

11.3 如发生可能触发澳大利亚 Notifiable Data Breaches 制度的事件,券宝宝将按照适用法律评估并采取通知等措施。

12. 商家责任与禁止行为

商家不得:(a) 冒充他人或提供虚假企业身份;(b) 干扰、逆向工程或滥用系统;(c) 批量抓取博主数据;(d) 骚扰、歧视、威胁或不当联系博主;(e) 要求博主作虚假陈述或刷好评;(f) 侵犯第三方知识产权、隐私或肖像权益;(g) 利用服务从事违法、欺诈或误导性活动;(h) 以不合理方式操纵平台评分、排序或数据。

13. 暂停与终止

13.1 如商家严重或重复违反本条款、存在欺诈或安全风险、拖欠应付费用、要求虚假评价、滥用个人信息或可能使券宝宝违反法律,券宝宝可在合理情况下暂停相关活动或账户。

13.2 在适用的小企业标准格式合同规则下,任何暂停、变更或终止权均应合理、透明并与保护平台、博主、消费者或合法商业利益所必要的程度相称。

13.3 终止不影响终止前已经产生的付款义务、知识产权、隐私、保密、争议解决及其他按性质应继续有效的条款。

14. 责任限制与法定保障

14.1 在法律允许的最大范围内,券宝宝不对博主个人意见、第三方平台算法变化、平台封禁、自然流量波动或商家无法控制的外部因素导致的间接损失、预期利润或机会损失承担责任。

14.2 本条款中的任何内容均不排除 Australian Consumer Law 或其他适用法律下不可排除的保证、救济或责任。

14.3 对可依法限制的责任,券宝宝可在正式版本中结合具体服务性质设置合理责任上限,但该上限不得构成不公平合同条款或排除不可排除的法定权利。

15. 投诉、争议与适用法律

15.1 商家如对匹配、收费、履约、隐私或内容存在争议,应先通过券宝宝客户支持渠道提出,并提供相关订单和证据。双方应善意尝试在合理期限内解决。

15.2 本条款受澳大利亚联邦法律及维多利亚州法律管辖。在法律允许范围内,双方接受维多利亚州有管辖权法院及法庭的管辖。

15.3 本条款不限制任何一方依法向 ACCCOAICACMA 或其他有权监管机构提出投诉或行使法定权利。

16. 条款变更

券宝宝可因法律、监管、产品或运营变化更新本条款。对商家权利义务产生实质不利影响的重大变更,应以合理方式提前通知,并避免赋予平台不受限制的单方变更权。已确认订单原则上适用下单时的商业条款,法律另有要求或双方另行同意的除外。

附录 A:商家端核心合规原则(建议在产品后台同步展示)

• 不强制好评:博主可基于真实体验表达正面、中立或负面意见。

• 不做虚假内容:不得要求未到店、未体验的人发布探店评价。

• 商业合作要披露:免费体验、赠品、现金或其他利益应清晰披露。

• 不滥用博主数据:联系方式只用于当前合作所需沟通,不得擅自群发或出售。

• 宣传必须真实:价格、菜品、服务、优惠及效果声明应准确且有合理依据。

• AI 是辅助工具:匹配分数用于提高筛选效率,不等于曝光、销量或到店结果保证。

附录 B:正式上线前建议补齐的信息

公司法定全称、ABN、注册地址;客服与隐私联系邮箱;实际收款主体及 GST 展示方式;退款/取消/补邀的明确业务规则;各套餐名额有效期;博主内容授权范围;数据存储位置和境外服务商清单;数据保留周期;AI 自动化决策说明及人工复核流程。

Merchant Terms of Service

1. Contracting Parties and Acceptance

1.1 These Terms apply to merchants, brands, venues, stores and their authorised representatives (each a Merchant”) that use the Couponer AI Influencer Invitation System (the Service”). The Service is provided by Grow Rich Marketing Pty Ltd or its nominated operating entity (Couponer”).

1.2 By registering, purchasing a package, submitting an influencer campaign request, clicking to accept these Terms, or otherwise using the Service, the Merchant acknowledges that it has read and agrees to be bound by these Terms and the applicable Privacy Policy and Data Use Policy.

1.3 The person acting for the Merchant represents that they have full authority to bind the relevant business and to submit marketing campaigns on its behalf.

2. Service Description and Platform Role

2.1 Couponer provides AI-assisted tools for collecting campaign requirements, screening and matching influencer candidates, sending invitations, coordinating availability, issuing visit reminders, and following up on publication. The system may contact influencers through the Couponer App, SMS, or other communication channels for which the required permissions have been obtained.

2.2 AI matching may take into account information relevant to the collaboration, including follower size, content category, location, availability, historical fulfilment, Merchant feedback, and publicly available or otherwise authorised cross-platform information, for the purpose of improving matching efficiency.

2.3 Couponer acts as a technology and matching service provider. Unless expressly agreed otherwise in writing, Couponer does not guarantee that any particular influencer will accept an invitation, attend a venue, publish content, or achieve any particular number of views, likes, sales, customer visits, or other commercial outcome.

2.4 Matching scores, rankings, recommendations and predictions generated by the Service are decision-support information only. The Merchant remains responsible for its final selection and campaign decisions.

3. Merchant Information and Invitation Requirements

3.1 The Merchant must provide true, accurate and complete campaign information, including the venue, package or experience value, number of attendees permitted, available dates and times, content direction, publication platform and any other information reasonably required, and must promptly update any information that changes.

3.2 The Merchant must not submit requirements that are unlawful, false, misleading, discriminatory, infringing, or inconsistent with the actual goods or services offered. The Merchant must not require an influencer to make claims about a product or service for which there are no reasonable grounds.

3.3 The Merchant must provide the food, entertainment, beauty, hairdressing or other experience agreed in the confirmed invitation and must not, without reasonable cause, materially reduce the confirmed benefits after the influencer arrives.

3.4 The Merchant may provide reasonable and truthful content directions, mandatory factual disclosures, brand asset requirements and compliance instructions. However, the Merchant must not control an influencers genuine opinion or require the influencer to conceal a commercial relationship.

4. Genuine Reviews, Advertising Disclosure and Prohibition on Forced Positive Reviews

4.1 The Merchant must not require, compel, induce or pressure an influencer to publish a positive review”, provide a specified star rating, reach a predetermined positive conclusion, or remove genuine negative feedback as a condition of receiving a package, complimentary item, payment or other benefit.

4.2 The Merchant must not require an influencer to publish content about an experience the influencer did not genuinely receive, and must not arrange fake reviews, fabricated consumer experiences, falsified engagement data or other content that may mislead consumers.

4.3 Where an influencer receives complimentary food, gifts, services, payment, discounts or any other benefit in connection with content, the Merchant must cooperate with Couponer and the influencer to ensure that the commercial, sponsored or incentivised relationship is disclosed clearly and prominently, in a manner that is not misleading and that complies with applicable platform rules.

4.4 Any incentive offered for a review must not be conditional on the review being positive or negative, and the existence of the incentive must be clearly disclosed.

4.5 Couponer may refuse, suspend or terminate any campaign that reasonably appears to involve review manipulation, fake or misleading advertising, concealment of a commercial relationship, or other unlawful conduct.

5. Packages, Credits, Fees and Payment

5.1 Current commercial packages may include: Free Trial (2 influencer credits), Standard Package (A$199 / 5 influencer credits), and Premium Package (A$299 / 12 influencer credits). The latest order page or written confirmation between the parties will govern the applicable price, GST treatment, campaign period, scheduling priority and package inclusions.

5.2 An influencer credit” is a service allocation that may be used by the system for matching and invitation activities. It does not, by itself, constitute a guarantee of final attendance, successful publication or exposure results, unless a specific outcome is expressly promised on the relevant product or order page.

5.3 Except where required by law or otherwise agreed in an order, whether a Service that has already commenced is refundable, transferable or eligible for replacement credits will depend on the unperformed portion of the Service, the reason for cancellation and any rights that cannot be excluded under the Australian Consumer Law.

5.4 Nothing in these Terms excludes, restricts or modifies any statutory right or guarantee of a consumer or small business that cannot lawfully be excluded, restricted or modified.

6. Scheduling, Cancellation, Attendance and Publication

6.1 The Merchant must provide genuine available appointment or attendance times. Matching will be based on the availability confirmed by the Merchant. Couponer is not responsible for fulfilment failures caused by circumstances attributable to the Merchant, including temporary closure, lack of capacity or changes in staffing arrangements.

6.2 If an influencer cancels, becomes unresponsive, fails to attend, or does not publish as agreed, Couponer may, subject to the applicable package rules, rematch, send replacement invitations, follow up or provide another reasonable remedy. Couponer does not guarantee the performance of any individual influencer.

6.3 The Merchant must not circumvent the platform for the purpose of avoiding confirmed orders, platform fees or data-protection arrangements, including by using non-public influencer contact information obtained through the Service for unauthorised bulk marketing.

6.4 If published content contains a factual error, infringes intellectual property rights, creates a privacy risk or is clearly unlawful, the Merchant may request a review by Couponer. The Merchant must not demand removal merely because a genuine review is insufficiently positive.

7. AI Matching, Automated Processing and Human Review

7.1 To improve efficiency, Couponer may use algorithms or AI to score, rank and recommend influencer candidates. Relevant factors may include content fit, location, availability, follower and engagement performance, historical collaboration and fulfilment data, Merchant feedback and cross-platform influence.

7.2 Couponer will take reasonable steps to avoid using sensitive attributes that are unrelated to marketing suitability as a basis for differential treatment and may provide human review or operational intervention where appropriate.

7.3 AI outputs may contain errors. The Merchant must not treat a system score as a guarantee of an influencers character, creditworthiness, professional qualifications or future commercial performance.

8. Privacy and Data Use Policy

8.1 Couponer may collect and process Merchant information including contact names, job titles, mobile numbers, email addresses, venue information, campaign requirements, chat records, order and payment records, usage logs and other information reasonably necessary to provide the Service.

8.2 Such information may be used to create and administer accounts; understand campaign requirements; perform AI matching and invitations; send service notifications; coordinate attendance and publication; provide customer support; prevent fraud and maintain security; analyse and improve the Service; and comply with legal, tax and regulatory obligations.

8.3 To the extent reasonably necessary, Couponer may disclose relevant information to invited influencers, SMS or communications providers, cloud service providers, payment providers, analytics providers and technology suppliers. Couponer should require service providers to maintain appropriate data-protection measures and to use information only to the extent necessary to provide the relevant services.

8.4 Where personal information is disclosed outside Australia, Couponer will, where applicable, take reasonable steps in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles to manage risks associated with overseas disclosure and will identify relevant countries or regions in its Privacy Policy where required.

8.5 The Merchant must not scrape, sell, publicly disclose or use influencer personal information for purposes unrelated to the relevant collaboration. The Merchant may use influencer information made available through the platform only to the extent reasonably necessary to conduct invitations, venue arrangements, collaboration communications and compliance record-keeping.

8.6 The Merchant must ensure that it has a lawful basis to provide Couponer with any third-party personal information and that any required notice has been given or consent obtained.

8.7 A Merchant may request access to or correction of its personal information in accordance with Couponers Privacy Policy and may raise privacy enquiries or complaints through Couponers designated privacy contact channel. The final Privacy Policy should specify the relevant email address, physical or postal address, and complaint-handling process.

9. SMS, App Notifications and Direct Marketing

9.1 Service communications directly related to a confirmed invitation, availability, attendance reminders or publication follow-up may be sent as operational communications where they do not contain promotional material.

9.2 Where an SMS, email or other electronic message contains marketing or promotional content, the sender must ensure that any consent required by applicable law has been obtained, accurately identify the sender and provide a valid, clear and functional unsubscribe mechanism.

9.3 The Merchant must not require Couponer to send unlawful marketing messages to influencers who have not consented to receive commercial electronic messages, and must not export contact information obtained through the platform for unauthorised bulk messaging.

9.4 Marketing communications must cease in accordance with applicable law and platform processes where a person opts out. Opting out of marketing does not prevent necessary transactional or service communications.

10. Intellectual Property and Content Use

10.1 Intellectual property rights in the Couponer system, software, interface, algorithms, trade marks, brand assets and platform content are owned by Couponer or the relevant rights holder.

10.2 The Merchant retains ownership of trade marks, images, menus, campaign materials and other content it uploads, and grants Couponer a non-exclusive licence to use that content to the extent reasonably necessary to provide, promote and improve the Service.

10.3 Copyright in influencer-created content, and the scope of any rights granted to the Merchant, will be determined by the influencers licence, applicable platform rules or the specific campaign agreement. Payment of a package fee does not, by itself, transfer to the Merchant a perpetual, worldwide or sublicensable copyright licence in influencer content.

10.4 If the Merchant wishes to use influencer content in paid advertising, on a website, on an e-commerce page, in offline advertising, or in edited or repurposed form, the relevant usage rights must be separately confirmed.

11. Data Security, Retention and Deletion

11.1 Couponer will take reasonable technical and organisational measures appropriate to the nature and risk of the information to protect personal information from unauthorised access, modification, disclosure, loss or misuse.

11.2 Personal information should be retained only for so long as reasonably required for service delivery, dispute handling, financial and tax records, fraud prevention and legal obligations. Where information is no longer required and is not required to be retained by law, reasonable steps should be taken to destroy or de-identify it in accordance with applicable law.

11.3 If an incident occurs that may trigger obligations under Australias Notifiable Data Breaches scheme, Couponer will assess the incident and take notification and other steps as required by applicable law.

12. Merchant Responsibilities and Prohibited Conduct

The Merchant must not: (a) impersonate another person or provide a false business identity; (b) interfere with, reverse engineer or misuse the Service; (c) scrape influencer data in bulk; (d) harass, discriminate against, threaten or improperly contact influencers; (e) require false statements or manipulated positive reviews; (f) infringe third-party intellectual property, privacy or image rights; (g) use the Service for unlawful, fraudulent or misleading activities; or (h) manipulate platform scores, rankings or data in an unreasonable or deceptive manner.

13. Suspension and Termination

13.1 Couponer may reasonably suspend a campaign or account where the Merchant materially or repeatedly breaches these Terms, presents a fraud or security risk, fails to pay amounts due, requires fake or manipulated reviews, misuses personal information, or may cause Couponer to breach applicable law.

13.2 Where the unfair contract terms regime for small business standard form contracts applies, any suspension, variation or termination right must be exercised reasonably and transparently and only to the extent reasonably necessary to protect the platform, influencers, consumers or other legitimate business interests.

13.3 Termination does not affect payment obligations accrued before termination or provisions concerning intellectual property, privacy, confidentiality, dispute resolution and any other provisions that by their nature are intended to survive termination.

14. Limitation of Liability and Statutory Guarantees

14.1 To the maximum extent permitted by law, Couponer is not liable for indirect loss, loss of anticipated profit or loss of opportunity arising from an influencers personal opinion, changes to third-party platform algorithms, account restrictions or bans, organic traffic fluctuations, or other external factors outside Couponers reasonable control.

14.2 Nothing in these Terms excludes, restricts or modifies any guarantee, remedy or liability under the Australian Consumer Law or other applicable law that cannot lawfully be excluded, restricted or modified.

14.3 To the extent liability may lawfully be limited, Couponer may include a reasonable liability cap in the final agreement having regard to the nature of the Service, provided that the cap does not constitute an unfair contract term or purport to exclude non-excludable statutory rights.

15. Complaints, Disputes and Governing Law

15.1 If the Merchant has a dispute concerning matching, fees, fulfilment, privacy or content, it should first contact Couponer customer support and provide the relevant order information and supporting evidence. The parties will attempt in good faith to resolve the matter within a reasonable period.

15.2 These Terms are governed by the laws of the Commonwealth of Australia and the State of Victoria. To the extent permitted by law, the parties submit to the jurisdiction of the courts and tribunals of competent jurisdiction in Victoria.

15.3 Nothing in these Terms prevents either party from exercising statutory rights or making a complaint to the ACCC, OAIC, ACMA or any other regulator having jurisdiction.

16. Changes to These Terms

Couponer may update these Terms to reflect changes in law, regulation, the Service or operational requirements. Any material change that adversely affects a Merchants rights or obligations should be notified in advance by reasonable means, and these Terms must not be interpreted as giving Couponer an unrestricted unilateral variation right. Unless required by law or otherwise agreed by the parties, confirmed orders should remain subject to the commercial terms applicable when the order was placed.

Schedule A – Core Merchant Compliance Principles

• No forced positive reviews: influencers must remain free to express a genuine positive, neutral or negative opinion based on their actual experience.

• No fake content: the Merchant must not require a person who did not attend or experience the offering to publish a venue or service review.

• Commercial relationships must be disclosed: complimentary experiences, gifts, payments and other benefits should be clearly disclosed.

• No misuse of influencer data: contact information may be used only for communications reasonably necessary for the relevant collaboration and must not be sold or used for unauthorised bulk marketing.

• Promotional claims must be truthful: statements about prices, menu items, services, promotions and performance must be accurate and supported by reasonable grounds.

• AI is a decision-support tool: matching scores are intended to improve screening efficiency and do not guarantee exposure, sales or customer attendance.

Schedule B – Information to Finalise Before Launch

Legal entity name, ABN and registered address; customer service and privacy contact email addresses; payment entity and GST presentation; clear refund, cancellation and replacement-invitation rules; validity period for each packages influencer credits; influencer content licensing terms; data hosting locations and overseas service-provider list; data retention periods; and the AI automated-processing explanation and human-review process.
